What Does a Company Secretary Do?

For corporate businesses and larger residential property companies, we are responsible for ensuring that board procedures are complied with, advising the board on all governance matters, supporting the Chair, and helping the board and its committees to function effectively. We also provide adhoc support for transactions and projects and busy periods.

As an overview, for all clients we provide the following Company Secretarial services on an annual basis:

  • Act as Company Secretary;
  • Provision of Registered Office and Directors Service addresses;
  • Prepare and file the Annual Confirmation Statement with the Registrar of Companies;
  • Prepare and file the Annual Statutory Accounts with the Registrar of Companies and HMRC;
  • Hold the Registers of Directors, Shareholders and Persons of Significant Control;
  • Advise on compliance with the Companies Act.

More specifically, the role of the Company Secretary is to take on some of the Director’s tasks; these may include:

  • Maintaining statutory books and legal records;
  • Filings at Companies House and HMRC;
  • Organising, preparing agendas for and taking minutes of Board meetings and Shareholder meetings (including AGMs); attendance at any Sub-Committee meetings and the taking of minutes;
  • Contributing to meeting discussions as and when required, and advising the Directors of the legal and governance aspects of running the Company;
  • Dealing with correspondence, collating information and writing reports, and ensuring decisions made are communicated to the relevant Company stakeholders and executive teams;
  • Liaising with external regulators and advisers;
  • Monitoring changes in legislation and best practice and suggesting appropriate action;
  • Developing and overseeing systems that ensure the Company complies with its legal and statutory requirements;
  • Overseeing compliance of the Companies Risk Register.
